Severance AgreementWith over 30 years of business and corporate practice and actual prior business experience, Mr. Kerin has developed a comprehensive knowledge of the formation of business entities, mergers, acquisitions and sales of privately held companies. Mr. Kerin's dynamic practice allows him to confidently advise his corporate clients on employment law compliance, executive compensation and severance agreements. H. Mathew Moore, serving as one of the firm's Senior Counsels, joined the firm in 2001. Mergers and AcquisitionsPrior to joining Flicker, Kerin, Kruger & Bissada, Mr. Tilghman served as the Director of Business and Legal Affairs at CriticalSense, Inc., an internet-based, supply chain management company. Mr. Tilghman was also a corporate attorney at Cooley Godward, LLP in Silicon Valley. In this position, he successfully represented public and private company clients and honed his skills in a full range of corporate and securities matters, including: corporate formation, public offerings, venture capital financing transactions, mergers and acquisitions, employee incentive programs, SEC reporting, general corporate governance and technology licensing.
Business FormationAnthony J. Tilghman, III is an associate who has been concentrating his practice in the firm's Business and Corporate Law Group since 2003. Mr. Tilghman successfully handles a wide range of matters for the firm's business clients, including: business formation and financing matters, business acquisitions, employment and labor matters, complex business and corporate issues, real estate transactions and disputes and construction negotiations and contracts. With this extensive expertise, Mr. Tilghman frequently supports the Family Law Group in intricate cases where business issues and employee equity incentive assets, including characterization and allocation of stock options, restricted stock units, and ESPP shares are involved. Mr. Tilghman utilizes his years of business experience in drafting and negotiating complex premarital agreements, marital settlement agreements and other documents utilized in family law matters. Business TransactionsCharles P. Ortmeyer specializes in sophisticated business transactions and entities. He has been practicing law for over 35 years in a variety of environments. He worked for 20 years in a big firm environment in San Francisco, the last 14 as a partner. He has served as the general counsel of a publicly-traded company, and has extensive in-house experience with several large corporations.
Limited Liability CompaniesMr. Ortmeyer is the co-author of Forming and Operating California Limited Liability Companies (CEB), a leading treatise on limited liability companies under California’s new Revised Uniform Limited Liability Company Act. He is also a co-author of Securities Regulation Forms, Clark Boardman Callaghan, a 4-volume treatise on documentation of securities transactions.
Intellectual PropertyMr. Moore is a member of the San Mateo County Bar Association as well as the California State Bar – Intellectual Property Law, Litigation and Family Law Sections.
Unfair CompetitionMr. Moore's litigation practice includes: contract disputes, partnership and corporate shareholder disputes (including corporate dissolution), commercial torts, including unfair competition, interference with contract and economic advantage, trade secret misappropriation, trademark and copyright infringement, and “faithless fiduciary” litigation concerning corporate officers and directors.
