Divorce
Guardianship
If it appears that a loved one will need a legal guardian, I can assist you in the process of becoming a legal guardian. I can also prepare the annual accountings and reports that the court will require after your are appointed guardian. Before you apply for guardianship, it is very important that you explore less expensive alternatives to guardianship that can possibly eliminate the need for a legal guardian altogether. By appointing a guardian, a court is taking away your loved one’s freedom, and courts take this responsibility very seriously. Guardians are under heavy court control, and you will have to provide annual reports to the court.

Wrongful Death
3. BENEFICIARY DESIGNATION: Sometimes a client who does not own real estate can just make their bank accounts and retirement plan accounts payable on death to individuals through beneficiary designations, which will avoid probate. However, in the same manner as placing assets into a revocable trust, if just one asset is missed, a probate proceeding will have to occur. The decedent should still have a will just in case an asset is missed, or if a wrongful death claim should arise. A will can greatly simplify any potential probate proceeding.
Restraining Order
When a guardianship proceeding is initiated, the court will appoint an “attorney ad litem” to represent the ward. If the ward does not believe that they need a legal guardian, the ad litem is charged with resisting the guardianship. A person who desires to be the ward’s legal guardian will have their own attorney. There may be another attorney appointed by the court called a “guardian ad litem” who essentially provides their independent opinion to the court as to the need for the appointment of a guardian for the ward. In the course of a contested guardianship, there can be numerous motions made to the court, such as temporary restraining orders, and temporary injunctions. Additionally, there can be a mediation proceeding during the course of the guardianship. A person desiring to be a guardian will have to qualify to serve as such. Among other requirements to qualify, a proposed guardian must not: 1. Be a person whose conduct is notoriously bad; 2. Be a person who is found to be unfit to serve due to lack of education, experience, or other good reason; 3. If the proposed guardian owes a debt to the ward and that debt is not paid off before qualification; and 4. A person who is otherwise found to be unfit to serve by the court.

Business and Corporate Law

Business Formation
Business Formalities: One critical area in business planning is maintaining the formalities of the business. If you do not maintain the formalities of the business, the business entity may come under attack as being merely an “alter ego” of yourself, and a court may allow the “corporate veil” to be pierced and the assets seized to satisfy a judgment. It is very important that you have the proper business formation documents in place, such as bylaws. Sometimes a client will have their C.P.A. create their company. Invariably, the C.P.A.’s idea of creating the company consists of merely registering the company with the Texas secretary of state. The C.P.A. will not have conducted an organizational meeting, prepared bylaws, obtained a minute book, or given the client any idea as to what the client’s annual meeting minutes should encompass. I give my clients all of the documents that they need to maintain the formalities of their business. I give my clients electronic copies of the annual meeting minutes where the client can conduct their own annual meetings without having to incur a legal fee.
Limited Liability Companies
Planning techniques, such as family limited partnerships, life insurance trusts, and limited liability companies to help clients lower their taxes and protect assets from court judgments. I regularly use trusts for clients who have children who are spendthrifts, or who have children with special needs.

Personal Injury
There may be a personal injury award, a will can simplify the probate process and make the probate proceeding less expensive than if you die without a will. A will can be drafted with terms and conditions that direct how your assets will be distributed after your demise.
Medical Malpractice
Even if you have just a few assets, it is a very good idea to have a will in place. There are instances where even though you may have very few assets, a personal injury award may arise as a result of your death, such as from an automobile accident or medical malpractice. In instances where
Medicaid Planning
1. Financial Durable Power of Attorney – allows loved ones to handle your financial affairs, including paying your income taxes and doing your returns, talk to medicare, pay your bills and manage your investments. A financial power of attorney is time sensitive – need a new one every five years. Should be effective immediately, not upon your incapacity, to avoid your loved ones having to hunt up doctors to state in writing that you are mentally incompetent. Should not just have the provisions found in the “boilerplate” Texas financial power of attorney. Should have additional provisions for income taxes and medicare/medicaid planning. A power of attorney is not as effective as a revocable trust in managing your assets.

Trusts and Estates

Estate Planning
I have handled over 5,000 estate plans matters since 1993 including very large estates and estates with special needs children. I charge a fixed fee for most estate plans, quoted in advance. Wills
1. “I have the will, and the will provides that I am the executor and that I will receive all of the property. I will just take the will to the bank, stock broker, and the county clerk, and I will get all of the property changed into my name. There is no need to go to probate court.” If there are assets that have to go through probate, the will has to be ruled upon by a judge through a court order to actually be the valid last will and testament of the deceased. For example, the court has to determine that the decedent was of sound mind when they signed their will.
Trusts
Trusts can be a very useful part of your estate plan. There are different types of trusts for different purposes. Trusts can be revocable or irrevocable. A revocable trust can be easily amended or revoked. An irrevocable trust is much harder to amend or revoke. The following is a general overview of some of the types of trusts that are available, and is by no means an exhaustive discussion of trusts.
Power of Attorney
2. Revocable trusts do not have to go through probate, if your assets are placed in the trust. A revocable trust can make sense even for small estates if the revocable trust is priced below the cost of probate. Revocable trusts also are a much better means of managing your assets if you are mentally incompetent than just using a financial power of attorney. There can be the same special needs and estate tax provisions built into a revocable trust as can be built into a will.
